Welcome to SCOTT! We’re pleased to have you here. These Terms of Service (“Terms”) explain how you may use our website, tools, and other services (collectively, the “Services”), which are provided by SCOTT (“SCOTT”, “we”, “us”, or “our”). By using our Services, you are agreeing to these Terms. Please read them carefully.

Your Agreement

To use our Services, you must have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an organisation (such as your employer or school), you confirm that you are authorised to do so. Certain features or Services may have additional terms. These will be clearly presented and form part of your agreement with us when you use the relevant features.

Responsible and Lawful Use

You agree to use the Services in a fair, lawful and respectful manner. In particular:

  • No interference: Do not disrupt or misuse the Services or associated systems.
  • Authorised access only: Use the interfaces and methods we provide.
  • Compliance: Obey all applicable laws and regulations.
  • Respect intellectual property: You do not gain any ownership rights over content or software provided through the Services.
  • Permission required: Do not use or reuse content unless you have proper permission.
  • Security: Keep your account credentials secure and notify us immediately of any unauthorised access.
  • Communications: We may send you essential communications about your account or the Services. You may opt out of some non-essential messages.

Failure to comply with these Terms may result in suspension or termination of your access.

Your SCOTT Account

You will need an account to access most features. You may create one yourself, or it may be assigned by an organisation. If your account is managed by an organisation, they may apply additional terms or have access to your usage. Please keep your password confidential and secure. You are responsible for all activity on your account. Report any suspicious activity to contact@scottlaw.co.

Privacy and Data Usage

We care about your privacy. Please refer to our Privacy Policy for details on how we collect, use, store, and protect your personal information.

Use of Content and AI Training

Unless explicitly stated otherwise, your content (e.g. text, files) is not used to train publicly available AI models. If a future feature requires your consent to use data for model training or product improvement, we will seek your permission transparently. We may use anonymised and aggregated usage data to improve our Services—this data cannot be used to identify you.

Your Content

When you upload or submit content to the Services (“Your Content”):

  • Ownership: You retain all intellectual property rights. What’s yours remains yours.
  • Licence to SCOTT: You grant us a non-exclusive, royalty-free, transferable licence to use Your Content solely to operate, maintain and improve the Services. This includes formatting, translating, and displaying content.
  • Feedback: If you share suggestions or ideas, you grant us permission to use them freely to improve the Services, without obligation or compensation.

Content from Third Parties and AI Tools

Some Services may include or generate content from external sources or our AI systems.

  • Third-party content: Responsibility lies with the provider. We may remove material that violates our policies or the law.
  • AI-generated content: Content generated by our tools may occasionally be inaccurate or outdated. Please verify any important information before relying on it.

Access and Subscriptions

We offer both free and paid versions of our Services.

Free Trials

Free trials may be offered at our discretion and may end automatically at the expiry date or earlier.

By subscribing, you agree to:

  • Pay in advance for your chosen plan.
  • Acknowledge that payments are generally non-refundable.
  • Not reduce the number of licences or downgrade during the subscription term.
  • Provide accurate billing details and authorise us to charge your payment method.

If your plan renews automatically, charges will continue unless you cancel before the next billing date. Discounted rates may only apply to initial periods. You can cancel at any time, and your access will continue until the end of the billing cycle.

Service Changes

We regularly improve and refine our Services. This may involve adding, changing, or removing features, or suspending Services entirely. You are free to stop using the Services at any time. Similarly, we may suspend or end your access if necessary.

Warranties and Disclaimers

We aim to provide a high standard of service, but:

  • Services are provided “as is”, without warranties of any kind.
  • We do not guarantee specific results, accuracy, or availability.
  • To the extent permitted by law, all implied warranties (e.g. merchantability, fitness for a particular purpose) are excluded.
  • We do not provide legal advice. SCOTT is not a law firm or a substitute for legal counsel.

Limitation of Liability

To the maximum extent permitted by law:

  • SCOTT and its affiliates shall not be liable for any indirect, incidental, special or consequential loss, including loss of data or profits.
  • Our total liability is limited to the amount you paid for the Services during the previous 12-month period—or, at our discretion, re-providing the Service.

We are not responsible for events or losses that are unforeseeable or beyond our reasonable control.

Business Users

If you are using the Services on behalf of a business, that business agrees to these Terms. It will indemnify SCOTT, its affiliates, officers, and employees from any claims or legal action arising from its use or misuse of the Services.

Force Majeure

Neither party shall be liable for delays or failure to perform obligations caused by events outside reasonable control, including (but not limited to) natural disasters, war, cyberattacks, labour disputes, or power outages.

  • Changes to These Terms: We may update these Terms occasionally. If we make significant changes, we will notify you. Unless required earlier by law, updates will take effect no sooner than fourteen (14) days after posting.
  • Conflict of Terms: Where additional terms apply to a specific Service and conflict with these Terms, the additional terms take precedence.
  • No Waiver: If we don’t enforce a right immediately, that doesn’t mean we waive it.
  • Severability: If any clause is found to be unenforceable, the rest shall remain valid.
  • Governing Law: These Terms are governed by the laws of the Republic of Singapore. Any legal disputes will be handled exclusively in Singaporean courts. You agree to submit to their jurisdiction.
